The short version. ChiroCode helps you document care and prepare claims. It does not practise chiropractic and it does not decide how you code. Every clinical and billing decision remains yours, and you remain responsible for what you submit. Your patient data stays yours, and you can take it with you.
These Terms govern use of ChiroCode, operated by Joticle, Inc., a Nevada corporation ("Joticle", "we", "us"). By creating an account or using the service you agree to them. If you are agreeing on behalf of a practice, you confirm you are authorised to bind it, and "you" means that practice.
Where you have signed a separate written services agreement or Business Associate Agreement with us, that agreement controls if it conflicts with these Terms.
ChiroCode is for licensed chiropractic providers, their practices, and staff they authorise. You must be 18 or over. It is not for patients, and it is not a personal health record.
ChiroCode suggests diagnosis and procedure codes, checks documentation against compliance rules, and helps assemble claims. Those are tools, not determinations.
If ChiroCode and your professional judgement disagree, your judgement governs. That is not us dodging — it is how the responsibility genuinely sits.
Where we handle protected health information on your behalf we act as a business associate under HIPAA, governed by a separate Business Associate Agreement. If you have not executed one with us, do so before putting patient data into the service. Our Privacy Policy explains how information is handled.
Patient consent for appointment reminders is yours to collect. Every patient starts opted out, and you must not enable reminders for a patient who has not agreed to them.
You agree not to:
We work to keep ChiroCode available and will give notice of planned maintenance where we can. We do not currently offer a contractual uptime guarantee, and we would rather say that plainly than publish a number we are not prepared to be held to. The service may be unavailable for maintenance, provider outages, or events outside our control. Keep the ability to operate on paper for a short period.
ChiroCode relies on third parties for hosting, email, text messaging, payments, claim submission, and AI-assisted code suggestion. Their availability and behaviour are outside our control. Those that handle patient health information do so under appropriate agreements, as described in our Privacy Policy.
The ChiroCode software, interface, and documentation are ours and are licensed to you for use, not sold. The ChiroCode and Joticle names and logos are our marks. Code sets such as ICD-10 and CPT are the property of their respective owners and your use of them is subject to their terms and any licence they require.
Except as expressly stated in a signed agreement with us, ChiroCode is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that its suggestions will result in payment.
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising out of these Terms. Our total liability for any claim relating to the service is limited to the fees you paid us in the twelve months before the claim arose.
This limitation does not apply to our obligations under a Business Associate Agreement, to our handling of protected health information, or to liability that cannot lawfully be limited.
You agree to indemnify us against claims arising from your use of the service in breach of these Terms, your clinical or billing decisions, or your failure to obtain a patient consent or authorisation the law required.
You may terminate at any time. We may suspend or terminate for material breach, unlawful use, or non-payment, with notice and a reasonable chance to cure where the circumstances allow. On termination your data is returned or destroyed under section 4, and sections 4, 5, 11, 12, 13, 14, and 16 survive.
These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws rules. Where you have a signed services agreement specifying a different forum, that agreement controls.
We may update these Terms. The date at the top reflects the current version, and we will notify account holders by email of material changes. Continued use after a change means acceptance.
